What do we mean when we say we're a "micro-lawfirm"?  Well, we mean that we don't pretend to be a full service lawfirm with teams of lawyers.  That's not what we're about. 

Beechmast is a provider of corporate-commercial legal services on a very individualised basis.
Our extensive experience in private & in-house practice means we understand that:

  • your contract counterparty today may be your customer, supplier or shareholder tomorrow

Our Principal

Beechmast Consultancy Limited's founder is Rosemary Cook, a solicitor with over 20 years experience in private practice & in-house practice.  Rosemary's private practice experience has been gained with two of the world's leading lawfirms, Freehills (Sydney office) & Freshfields (London office), together with a "boutique" corporate practice in Sydney, Australia and a high street practice in the UK.

Rosemary was General Counsel at International Power plc, a FTSE 100 company with an international portfolio of electric power generation assets, with responsibility for the company's global team of project lawyers.

Rosemary is also a Director and Trustee of Wessex Archaeology Limited.

We provide commercial contract advice to CfBT Education Trust for various of its UK activities. Particular emphasis has been on contracts to provide education services to central government or local authorities, most of which were subject to the public procurement regime.

CfBT Education Trust has 40 years' experience of delivering education services worldwide. It exists solely to provide education for public benefit and is one of the top 30 charities in the UK. CfBT has more than 2,500 staff around the world, designing and delivering teaching and learning services.

  Amongst other matters we have advised on are the following:  
  • Advising a financial management business on matters concerning the introduction of a new shareholder (including drafting shareholders agreement, issue of new class of shares, revising articles of association, etc).
  • Advising an incoming member of an LLP in the software consulting business.
  • Providing ad hoc corporate and commercial advice to a marketing and business consultancy business.
  • Advising the shareholders of an asset management optimisation software provider concerning equity subscriptions and intra-shareholder matters.
  • Advising Wessar International Limited, a start up company which has recently launched SightRead4Piano, the first of a planned series of apps to assist with sight reading music. We advised on a wide range of matters, amongst which were a shareholders' agreement, the design services agreement, various licensing agreements with music exam boards, a loan facility agreement, a consultancy agreement, an IP rights purchase agreement, new articles of association, various concerns arising from the early development phases of the concept and other corporate matters.
